Welcome to HotelClimb. These Terms of Service (“Terms”) govern your use of the HotelClimb hotel management software platform and all related services. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using HotelClimb's website, software platform, mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, you may not access or use the Services. We recommend that you read these Terms carefully before using HotelClimb.

2. Service Description

HotelClimb is a cloud-based hotel management software platform that provides property management system (PMS), point-of-sale (POS), channel management, billing, housekeeping, inventory, HR & payroll, reporting, and other hospitality management modules.

The Services are provided on a subscription basis. The specific features and modules available to you depend on your chosen subscription plan. We reserve the right to modify, update, or discontinue features with reasonable notice to subscribers.

3. Account Registration & Security

To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to: provide accurate, current, and complete registration information; maintain and promptly update your account information; keep your password and login credentials secure; notify HotelClimb immediately of any unauthorized access or security breach; not share your account with unauthorized individuals.

HotelClimb reserves the right to suspend or terminate accounts that appear to be compromised or that violate these terms.

4. Subscription & Payment Terms

HotelClimb Services are offered on a subscription basis with pricing based on your property size, number of outlets, and selected plan tier. All pricing is listed on our website and may be updated with 30 days' prior notice.

Subscriptions are billed in advance on a monthly or annual basis as selected during signup. All fees are exclusive of applicable taxes (including GST) unless stated otherwise. You are responsible for paying all applicable taxes.

If payment is not received within 15 days of the due date, we may suspend access to the Services. Refunds are available only for annual subscriptions cancelled within the first 14 days, subject to a prorated deduction for the period of use.

5. Data Ownership & Usage

You retain full ownership of all data you input into the HotelClimb platform, including guest records, reservations, billing data, inventory records, employee information, and any other operational data ("Your Data").

You grant HotelClimb a limited license to process, store, and transmit Your Data solely for the purpose of providing the Services. We will not access, use, or disclose Your Data for any other purpose without your explicit consent.

Upon termination of your subscription, you may request a complete export of Your Data in standard formats (CSV, JSON) within 30 days. After 30 days, Your Data will be securely deleted from our active systems, with backup copies removed within 90 days.

6. Acceptable Use Policy

You agree not to: use the Services for any unlawful purpose or in violation of any applicable laws or regulations; attempt to gain unauthorized access to any systems or networks connected to the Services; use the Services to store or transmit malicious code, viruses, or harmful content; interfere with or disrupt the integrity or performance of the Services; reverse engineer, decompile, or disassemble any part of the Services.

You are solely responsible for ensuring that your use of the Services complies with all applicable hospitality industry regulations, including but not limited to the Hotel & Restaurant Approval and Classification Committee (HRACC) guidelines, Foreign Registration Act compliance, GST regulations, and local licensing requirements.

7. Service Level & Uptime

HotelClimb strives to maintain 99.9% uptime for all cloud-based Services. Scheduled maintenance windows will be communicated at least 48 hours in advance and will be performed during off-peak hours (typically 2:00 AM – 5:00 AM IST).

The Services include offline-first capability, allowing critical operations (billing, check-in, POS) to continue during internet outages with automatic data synchronization upon connectivity restoration.

In the event of extended downtime exceeding 24 cumulative hours in a calendar month (excluding scheduled maintenance and force majeure events), you may be eligible for a prorated service credit upon request.

8. Intellectual Property

All rights, title, and interest in and to the HotelClimb platform, including all software code, algorithms, designs, interfaces, documentation, trademarks, and other intellectual property, are and remain the exclusive property of HotelClimb.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term. This license does not include the right to sublicense, modify, distribute, or create derivative works based on the Services.

9. Support & Maintenance

HotelClimb provides 24/7 customer support via phone, email, WhatsApp, and in-app chat for all active subscribers. Response times vary by plan tier and issue severity.

We provide regular software updates, security patches, and feature enhancements at no additional cost during your subscription term. These updates are deployed automatically and may require brief service interruptions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, HotelClimb's total cumulative liability to you for any and all claims arising from or related to the Services shall not exceed the total fees paid by you during the 12 months immediately preceding the claim.

HotelClimb shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or business interruption, regardless of the cause of action or theory of liability.

This limitation applies even if HotelClimb has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

11. Termination

Either party may terminate the subscription with 30 days' written notice. Upon termination: your access to the Services will cease; you may request a data export within 30 days; any outstanding fees become immediately due.

HotelClimb may immediately suspend or terminate your access if you: breach these Terms of Service; fail to pay fees for more than 30 days; engage in activities that harm the platform or other users; are required to do so by law.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating any formal dispute resolution, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days from written notice of the dispute.

13. Modifications to Terms

We may modify these Terms from time to time. Material changes will be communicated via email and a prominent notice on our website at least 30 days before taking effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated terms.

If you disagree with any changes, you may terminate your subscription by providing written notice before the changes take effect.
